Recommendation for pc upgrade

I have been using a p4 system for quite some time now. I would like some advice about upgrading my pc.

The spec for my old rig is as below:

Pentium 4 2.8 Ghz (Northwood)
Biostar P4M900-M4
corsair 2Gb ddr2 value ram
palit nvidia 8600 gt
1tb wd hard disk
LG dvd burner
samsung syncmaster 153v
generic power supply (450W)

Due to my job, I don't have much time to play games. But if I do, I would like to play the latest games available e.g prototype, modern warfare 2. I don't mind playing at mid quality setting.

I would like to use back my ram, monitor, graphic card, hard disk, dvd burner and the casing itself. In other words I only need a new cpu and motherboard. If there is a possibility that my old power supply can be used, the better. My budget is under rm 800, lower is better.
