Company Share Purchase

Hi everyone. m actually looking for some opinions from those with any knowledge or experience with laws under Malaysian company act 1965 or anything else as relevant for a friend's case.

The story began in October 2011 when he voluntarily joined a company which one of the founders was a friend frm his college days. He was never provided with any offer letter or agreement for his employment which he didnt mind at all since the company was consistent in disbursing his monthly pay (based on payment voucher slip) but no EPF and SOCSO contribution until he quit in July 2012.

He was offered by the 2 founders of the company who were the major shareholders/directors to purchase company shares at a price of RM11,000.00 in April 2012 which he paid in cash in the same month and received an official company payment receipt for the share purchase. In May 2012, he was called in for a meeting with the company directors and a representative from the company secretary. The company founders announced the increase of the current total share value and also that my friend joining as a new shareholder in that meeting. At the end of the meeting, he signed the share purchase agreement.

In November 2012, 4 months after he quit from working with the company in July 2012 and he was still waiting to receive the share ownership certificate, he called the company secretary office with the intent to check the registration status of his name as the new company shareholder but shockingly the staff in charge of the company's account said that his name was not existent in any part of the company's document. Then he visited SSM online portal and downloaded the company's updated registration details thru e-info and found out that what he heard from the company's secretary office was indeed true. His name was never registered as a new shareholder although the company's total share capital has been increased and allotted only to existing shareholders. Lastly, he called the company's office and spoke to one of the company staff. He asked abt the status for the company share purchase and the staff said that the agreement which he signed in May 2012 had been cancelled by one of the company directors for the reason that they had to change the number of share units to be allotted to my friend after he quit frm working with the company n thus never submitted the original signed agreement.

Furious, he straightaway called the company director who previously offered him to purchase the company share units and asked for the company to return his money in full but the director only replied by saying that the company cannot return any money which has been paid to them. Only after my friend complained to the director which was 6 months after he signed the share purchase agreement, the company simply asked him to sign a new share purchase agreement.

My friend also felt cheated by the company since he did ask the director a few times abt his share units and the director always said that he has been registered as a new shareholder and also that in case if he wanted to withdraw frm the company share scheme, he would need to find someone else to purchase his share units although he had never been allotted any share units yet.

Since the company refused to return his money, he decided to hire a lawyer to fight for his case in court. What do you think.. can he win this case?

I had been trying to find it on HP sites but found none. I even hav had a chat with an HP technical support member n asked her if she could help me find the details for this archived notebook. She wasn't much of a help as she also couldn't find it. So now Im hoping that there's somebody here that hav had some experience or knowledge abt this product. Or it would very helpful enough if someone could tell me whether this notebook model has integrated memory or not. Thanks

Failing Windows XP repair

Recently i performed a Windows XP repair to my rig.

The first one had been done successfully..

but i had to perform another one because of a faulty board that had consistently caused system crash in the Windows XP GUI environment

however, after that second attempt to repair Windows XP installation since I had again change major hardware(motherboard n processor).. the repair process halted halfway.

In details this was what I had done and and appeared before the problem occured

1) Boot from Windows XP CD
2) Proceed with repair option from the list of detected Windows XP installations
3) Old Windows XP files deleted and replaced
4) First system restart after the necessary configurations had been saved
5) Boot screen

Finally and frustatingly.. My computer only display the mouse cursor with black, blank n empty screen.

No sign of progress from the HDD LED nor the CD drive.

Format and fresh install is really not an option for me since I have too many important configurations saved and installed applications in this Windows XP installation that im trying to recover.

I would really appreciate any opinion or assistance in solving this problem of mine

Thank you
