Suspicious term in offer letter

I found this in my offer letter.

1. " Annual leave shall not be offset against notice of resignation except under special circumstances "
No further written explanation can be found? So in which case is the special circumstances? Are they trying to fool their employee?

2. "Employee will not given pay in lieu of annual leave except in the case of resignation where pro-rata leave not taken in the year of leaving may be paid, provided the employee is not leaving for misconduct."
I am not so clear with this term.

Where is Asus Service center in penang. Can i know the exact location? I got the address from google but not really sure where is it .

Do i need warranty card for service? I think the seller didnt include the warranty card in the package . But my laptop was registered.

Can a film camera be teared down bcoz i wan to clean the dirt inside , it's old Canon model ,survived the flood , 10 years ago .
