Registering a subsidiary company

Hello folks, i need some advice. I am actually trying to create a company just for online selling of the merchandises i currently have in my company as my current company does not do online selling for several reasons. When i was discussing this with the website designer, he pointed out that before i can actually start selling online i need to provide documentations that i am allowed to sell these merchandises which i do, but not for the new company. So creating a subsidiary company should solve this problem yes ?

Secondly, how do i got about creating a subsidiary company ? SSM is not being helpful and says i am contact the local authority in my area ( assumably DBKL as i am based in KL ).

Appreciate any feed back !
