Penang Heritage Guidelines

Does anyone know whether E&O's new extension is within the height guidelines approved by the World Heritage Committee (WHC)? "Under stringent heritage guidelines sent to the committee in August 2007, a maximum height of 18m or roughly five storeys was set for new buildings in the two zones."

It seem to me to be higher than 18m. Why hasn't the press , State gomen, PHT commented on it? Has E&O got special dispensation?

Couple of questions I wish to ask.

i) Anyone knows when the decision was made to allocate the contract to Puncak. Any announcements made?
ii) Any advance notice given for the signing of such a major contract ie Makan , buffet , press invitation etc.
iii) MB so free on the eve of general election to be able to negiotiate and sign contract?No wonder BN lost
iv) Why no press coverage the in financial press on the deal?
v) How much does the contract for 27 YEARS cost?

1. SUNGAI SIREH WATER TREATMENT PLANT OPERATION AND MAINTENANCE AGREEMENT BETWEEN THE STATE GOVERNMENT OF SELANGOR ("STATE GOVERNMENT") AND PUNCAK NIAGA (M) SDN BHD ("PNSB") ("SUNGAI SIREH O&M AGREEMENT")
2. NOVATION AGREEMENT TO THE SUNGAI SIREH O&M AGREEMENT BETWEEN THE STATE GOVERNMENT, PNSB AND SYARIKAT BEKALAN AIR SELANGOR SDN BHD ("SYABAS") ("NOVATION AGREEMENT")

1. INTRODUCTION

The Board of Directors of the Company is pleased to announce that the Company's two (2) subsidiaries, PNSB and SYABAS, had on 7 March 2008, entered into the following two (2) agreements:-

a) Sungai Sireh O&M Agreement between the State Government and PNSB in relation to the appointment of PNSB as the Operator to operate, manage and maintain the raw water intake and the treatment plant situated on a 6.72 acre piece of land located beside a canal near Sungai Sireh, Tanjung Karang in the District of Kuala Selangor, Selangor Darul Ehsan and associated works pursuant to Clause 3(a) (vi) of the Concession Agreement dated 15 December 2004 between the Federal Government of Malaysia, the State Government and SYABAS, for a concession period of twenty seven (27) years, commencing on 1 April 2007 and expiring on 30 April 2034; and

b) Novation Agreement between the State Government, PNSB and SYABAS in relation to the assumption of all the State Government's rights, benefit, liabilities and obligations under the Sungai Sireh O&M Agreement by SYABAS (save and except on matters related to land and the maintenance of the raw water quality including matters which are not or are incapable of being exercised by or conferred on SYABAS under the law).

2. SALIENT INFORMATION ON THE SUNGAI SIREH O&M AGREEMENT AND NOVATION AGREEMENT

a) Sungai Sireh O&M Agreement

The State Government has agreed to grant the following rights and obligations to the Company as the Operator from the effective date of the Sungai Sireh O&M Agreement on 1 April 2007 (the "Effective Date"):-

i) to abstract raw water from Sungai Sireh or other sources as agreed by the Director and to treat the same at the raw water intake and the treatment plant situated on a 6.72 acre piece of land located beside a canal near Sungai Sireh, Tanjung Karang in the District of Kuala Selangor, Selangor Darul Ehsan and associated works which are fully described in "Appendix 2" of the Sungai Sireh O&M Agreement (the "Facilities");

ii) of access and exclusive use of the area comprising the land on which the Facilities are constructed and to operate, manage, maintain and refurbish the Facilities; and

iii) to sell, in bulk, treated water produced from the operation of the Facilities to the State Government.

All other terms as privately agreed with the State Government.

b) Novation Agreement

As at the Effective Date of the Sungai Sireh O&M Agreement, SYABAS shall:-

i) assume and perform all of the State Government's obligations in respect of the purchase of treated water from PNSB and all operational matters related to such purchase under the terms of the Sungai Sireh O&M Agreement;

ii) assume and perform all of the State Government's obligations in respect of the payment of the Bulk Supply Payment payable to PNSB under the terms of the Sungai Sireh O&M Agreement; and

iii) assume and perform all of the State Government's other obligations under the terms of the Sungai Sireh O&M Agreement save for the Excluded Rights and Liabilities.

All other terms as privately agreed with the State Government.

3. FINANCIAL EFFECT

The execution of the Sungai Sireh O&M Agreement and the Novation Agreement will not have any effect on the issued and paid-up share capital of the Company as well as the shareholdings of the substantial shareholders of the Company.

The execution of the Sungai Sireh O&M Agreement and Novation Agreement are also not expected to have a material effect on the earnings, net assets and gearing of the Company and its Group of Companies for the financial year ending 31 December 2008.

4. DIRECTORS' AND MAJOR SHAREHOLDERS' INTERESTS

None of the Directors, major shareholders and/or persons connected with a Director or a major shareholder of the Company, have any interest, direct or indirect, in the Sungai Sireh O&M Agreement and the Novation Agreement.
