Investing 180k for 15% shares on newly setup business. Hongkong kopitiam. First agreement out and signed, but due to many clauses different from what business owner promised so have to change it and redo whole agreement. I paid him 100k with online transfer ady. Second agreement is ok but until the very last minutes only i realized im trapped, the company got no shares capital, owner used his own money without putting the money into company as shares capital. The company only has 1000 unit shares each worth rm1. It means the company only worth rm1000. So if i proceed with this agreement i have to wait until the owner recover all his setup capital before i could get profit from this business which might take few years. Even my rm180k is exclude from company share capital. Very unfair to me. Also since the company got no capital, even if owner breach the agreement in the future, i cant sue them due to company got no money, lets say if i win also i wont get single cent.. the agreement deal with company not the owner, so i cant take action against the owner personally. If i dont sign or agree withh second agreement, owner threaten he will sue me that i breach first signed agreement copy, he refused to refund me my money. So what i can i do now?

If i dont sign other party sue me, even if i win i get ntg, but if i lose i have to pay alot. If i proceed, the agreement too unfair to me, i might lost all the 180k i invest. Dont mention the risk of not making profit and i have to wait for him to recover capital. Even if the business is making profit, he can still make fake audit report out saying the business dont make any profit. Its very easy.
