Company Shares question

Me and my partner started an internet marketing company 2 years ago with shares 50/50.

Then today, my partner's friend say he wants to invest RM 100,000 for us to expand the business and he becomes a shareholder. I will meet up with my partner's friend soon but I have a few questions,

1. As a shareholder, can I reject the appointment of my partner's friend as a shareholder?
2. How do I calculate the net value of this company?
3. How much share should I allocate to my partner's friend?
4. Assuming the net value of my company is 50,000 and the guy invest 100,000, now the company's net value is 150,000. Assume that the new guy has 40% share while me and partner have 30% each. If I sell my shares, do I get 30% x 150,000 = 45,000?

Thank you
