Holistic Healing Limited was formed in 1995. It manufactures and sells cosmetics containing only natural ingredients. The company’s objects clause provides that the company will deal only in products which have not been tested on animals. 80% of the company’s shares are owned by the company’s employees. The company’s articles provide that any decision that might ‘seriously impact’ upon the company’s employees must be approved by the company’s employees at a general meeting.

In recent months sales of the company’s products have fallen badly and the company has been making losses. Clarice, the company’s managing director, believes that this is due to competition from many businesses producing cosmetics made from natural ingredients. The way forward here would be ‘anti-aging’ cosmetics. She makes the decision to buy from Biomedics Plc an exclusive license to manufacture and sell an anti-aging cosmetic. The products used in this anti-aging cosmetic were tested on animals.

Since for the manufacture of the anti-aging cosmetic, there was no need for some of their machinery, Clarice placed an advertisement for its sale at a price of £5,000. Interested in this machinery, Complexion Ltd sent a cheque for £5,000 to Clarice asking when they could take delivery of the machinery. Clarice did not respond immediately as she was busy arranging for a General Meeting to be held to announce the recent changes.

At the General Meeting, when the announcements were made, the employees were not at all pleased with the decisions Clarice made and that their approval was not sought. On seeing the employees dissatisfaction, she proceeded to return the cheque of £5,000 to Complexion Ltd but maintained that the purchase from Biomedics Plc was a good one.

1. Discuss the implications of Clarice’s decisions:-

b) in not seeking the approval of the employee’s.

2. Is there a contract between Complexion Ltd and Holistic Healing Limited for the purchase of the machinery?
