Continuous Beep, no display after changing proc

So from my previous sucky build
Dell optiplex 755 customized build
MOBO : BTX proprietary mobo
PSU : 280w
CPU : Core 2 Quad Q6600
GPU : Asus GTX 750 2gbgddr5 non ti
RAM : 6GB DDR2 only

This was working fine but I wanted to upgrade the mobo to MSI(ex NEC) MS-7594 (Intel G45/43 chipset), this basically means upgrading the casing as well

so I tried to build this
Casing : Powerlogic Futura XV110
PSU : 450w
CPU : (same)Core 2 Quad Q6600
GPU : (same)Asus GTX 750 2gbgddr5 non ti
RAM : 4GB DDR3 dual channel

the problem is after I switch on power... it just continuously beeps with no display.
So I tried eraser technique for RAM because many said thats the problem but still same,
I tried removing the GPU and so straight VGA from integrated graphics still same,
I never think its the Processor but after changing the Processor to Core 2 Duo E4500(luckily i have this stock dell processor) it just boots and everything works RAM the GTX 750 also works...
Is my Q6600 processor faulty now?(I haven't tried placing it in the old build again, Ill try while waiting for some other anwer in this post) or is it incompatible? but I thought G45/43 supported C2Q and why does it continuously beep ,shouldn't that mean its the RAM fault?

or is there some bios settings/update thats preventing me to use the Q6600?

I thought I if I buy physical disc I could watch some movie during install and play the dang game after that but..Konami managed to troll me.. In the DVD theres like worth 8mb of Steam Installer(lie on the floor and cry pun tiada guna)...

Very suitable for those already planning on downloading on Steam or have speedy and unlimited/plenty of data

Konami couldn't get me more angry because in the box, theres nothing special, a card with the Steam Key , a card that says you can get walkthrough books online(whoopdeedoo), and The DVD and DVD box ofcourse, nothing in the box except the Steam Key that is really needed to download the game...

I already sacrificed so much money in this game...
