NEWS: Govt to buy up to RM1.25bil shares in PROTON

The Government will inject up to RM1.25bil into Proton Holdings Bhd (PHB) by subscribing to new redeemable convertible cumulative preference shares (RCCPS) in the carmaker, which may make it Proton’s controlling shareholder again if it chooses to fully convert the RCCPS.

In a filing with Bursa Malaysia on Monday, DRB-Hicom said its unit PHB had entered into a conditional agreement with Minister of Finance Inc’s 99.9% owned Govco Holdings Bhd for Govco’s proposed subscription of 1.25 billion new RCCPS comprising par value of 1 sen each and premium of 99 sen each at an issue price of RM1.

“The proposed RCCPS issuance will enable PHB to regularise its cashflow and settle the long outstanding balance payable to the PHB group’s various local and international creditors, vendors and suppliers. This will also help rebuild the vendors/suppliers’ confidence in the PHB group,” DRB-Hicom said.

Last month DRB-Hicom announced net losses of RM991.90mil in the financial year ended March 31, 2016 (FY16), mainly due to the poor performance of PHB. The conglomerate said if Proton’s results were excluded, the group’s performance in FY16 was commendable.

“PHB group has been experiencing flagging vehicle sales in the recent years and this has affected PHB group’s cashflow position,” DRB-Hicom said in its announcement on Monday.

“PHB group plays a crucial role in the national automotive industry where there are about 12,000 workers directly under the PHB group while about 50,000 are employed under the various vendor companies. In cognisance of this, the Government agreed to subscribe to the PHB RCCPS to provide financial support to PHB.”

The Government had said in April that it would grant Proton a RM1.5bil soft loan, which wpuld come with several conditions attached to ensure the national carmaker is competitive.

In its latest announcement, DRB-Hicom noted that within one year from the date of the subscription agreement or such other date as the parties might mutually agree to extend, PHB would “use its best endeavour” to seek and identify a strategic and renowned partner who will assist in research and development to become a competitive player in automotive industry at the international level.

“Notwithstanding the aforesaid, in the event that PHB is not able to fulfil the aforesaid requirement after exercising its best efforts and endeavours, the parties shall mutually discuss for alternative solutions or options towards achieving similar objective,” it added.

Assuming that Govco converts the entire 1.25 billion PHB RCCPS and the unpaid dividend declared for the PHB RCCPS of RM574mil into 2.1 million new PHB shares at the end of the tenure, DRB-Hicom’s shareholdings in PHB will be diluted from 100% to about 20.72%, while Govco will hold about 79.28% in PHB.

The conversion price of 87 sen per PHB share arising from the conversion ratio of 1 PHB RCCPS to 1.152 new PHB share was determined on a negotiated basis and after taking into expected required rate of returns to Govco.

The issued and paid-up share capital of Proton is currently RM550.21mil comprising 549.21 million shares and 1 million redeemable preference shares.

PHB will declare a cumulative dividend annually, with such dividend being 4.0% per annum on a cumulative basis. Another condition is that no dividend will be declared to PHB’s ordinary shareholders and other preference shareholders without Govco’s consent, and if any dividend is declared by PHB to its ordinary and other preference shareholders, then the dividends in respect of the PHB RCCPS will be paid in preference.

SANDAKAN: Two youths here are offering breakfast for just one ringgit.
Jaafar Pame, 28, and Muhammad Abdullah, 30, believed they could still make money despite the low selling price.
They started last October with just RM100 in cash and used the money to make and sell 100 sets of breakfast comprising a chicken or vegetable sandwich with coffee or tea.

They set up shop by the roadside from 6am till 8am along a busy main road, Jalan Airport here.
Even at that price, they can make about RM1,000 profit monthly – not bad for a two-hour effort, from Monday till Saturday.

“We also take orders such as for mushroom soup and hot drinks around Batu 7 Jalan Airport, and charge only RM1 for delivery.

normally high keras hotels,
the toilets very clean and smell oso nice got many air freshener.

but cheaper hotels, petrol stations, public toilet all very dirty even when charge entrance fees.

User problem or cleaner problem?

SHAH ALAM: The Selangor Syariah Judiciary Department (Jakess) has introduced a fast-track divorce process for Muslim couples who have mutually agreed to dissolve their marriage.

Selangor Syariah Chief Judge Dr Mohd Na'im Mokhtar said the process would take only about six hours, down from three months previously.

However, he said, the fast-track process would only be applicable to divorce cases filed under Section 47 of the Islamic Family Law (Selangor) or couples who have agreed to divorce.

"This process, besides saving costs, will also enable the divorce couples to start their new lives faster," he told a media conference after the launch of the 'Fast Track Divorce Case Work Process' here Friday.

It was launched by Selangor Islamic religion, Malay customs and heritage, rural and traditional village committee chairman Datuk Dr Ahmad Yunus Hairi.

Also present was Malaysia Syariah judiciary department director-general and Syariah Chief Judge Tan Sri Dr Ibrahim Lembut.

Meanwhile, Dr Ahmad Yunus, in his speech, said 22,230 divorce cases were reported in Selangor last year compared with 19,932 cases in 2013.

Honda to recall 87,182 units of five models to replace airbag inflators.

Honda Malaysia Sdn Bhd has launched a precautionary update for 87,182 units of Honda vehicles that comprise a range of models to replace the driver and passenger airbag inflators with newly produced inflators for all affected models.

It said on Thursday the units are the
City (year of manufacture from 2003 to 2008);
Civic (2003 to 2008);
CR-V (2002 to 2007);
Jazz (2004 to 2006),
Stream (2004 to 2005).

Very often maintenance with too short a notice.

This one breaks the straw.

This morning I went jalan-jalan see one auntie selling nyonya kuih.
Got this uncle wented and buy some kuih.

Unker test this abit, that abit, then put some into plastic bag.

Den Uncle ask: "eh buy so many got diskaun ah?"

seller replies: "aiyo buy a bit oni oso want diskaun ah?"
"all together oni RM5. diskaun most i can gip oso 10sen oni...."

that unker give like shitzface and say
"10sen not money ah? and refuse to go after handling over rm5 to the auntie.

Auntie then ask "u wait here for what ?"

somebody's dad err unker said "my change auntie"

she replies "aiyo 10 cent also u want ar? u very poor meh? i no 10cent...if u want u wait"
