If one of the shareholders of a Sdn Bhd company decided to increase his paid up capital, does he need to get the other shareholder's approval? Or can he just increase the amount he invested by informing the company secretary?

Hi,

Recently a good friend has been offered a position of sales manager with a local sales and marketing company in Penang. My friend has 7 years of experience in sales and is wondering whether to accept the offer as she's not sure of the salary offered is good enough.

Here are some questions to clarify before she negotiates with the new boss.

1) What is the common salary range for a sales manager?

2) Is this position entitled for all allowances like transportation, petrol, and toll? What is the commonly paid in the market ?

3) Is she entitled for sales commission? What is the usual percentage?

Appreciate if anyone could highlight any important points that I might have missed out.

Hi...
Why do many companies want to split out so many subsidiaries? I noticed a lot of companies be it big or small are also doing this.

One of the example: Maxis Communications Berhad

Subsidiaries: Maxis Mobile Sdn Bhd
Maxis Broadband Sdn Bhd
Maxis International Sdn Bhd

I'm aware that these 3 subsidiaries are doing different business but why does Maxis want to separate into 3 different companies? Why don't they just operate under 1 main company but different division?

What are the advantages for splitting out so many subsidiaries ?

Sorry if I asked some silly questions but I really don't understand why they are doing this.

Hi everyone,

To set up a company (sdn bhd), the minimum paid-up capital is RM2.00.
How much is the minimum authorised capital? And what's the maximum?

For example:
Paid-up capital : RM50,000
Authorised capital: RM100,000

Question:
1) Do the partners in this company have to raise RM 100K when they set up the company? Or they only need to pay up whatever amount that they need to run the business (like RM50,000)?

2) The balance unsubscribed shares of RM50,000 can be raised in future if the company needs more fund?

Hi..

I'm planning to set up a marketing company to help market my relative's current business.
My relative is operating his current company selling security products and services. He does not have a sales team and I'm planning to set up my own company to secure sales for his products and services.

I have experience in sales while my relative doesn't. I think it is better to set up a separate company than to invest in his current company.

Can anyone advice whether having a separate marketing company is more beneficial to operating everything under the same existing company?

Also, can anyone advise how does the profit sharing work between a partner company and the principal company?
