            <description>&lt;b&gt;BP Healthcare directors plan &amp;#036;157 mln Malaysia IPO of shell firm&lt;/b&gt;&lt;br /&gt;&lt;br /&gt;Directors of Malaysia&amp;#39;s BP Healthcare, a diagnostics-to-laboratory medical group, plan to raise up to 500 million ringgit (&amp;#036;157 million) through a special purpose acquisition vehicle (SPAC) listing next year, according to two sources with direct knowledge of the deal.&lt;br /&gt;&lt;br /&gt;A SPAC is a shell company with no assets. It is set up with the intention of buying firms, usually within 2-3 years of listing, that will later be folded into the business.&lt;br /&gt;&lt;br /&gt;Malaysia has seen a flurry of SPAC listings in recent years, most of them related to the oil and gas sector. BP Healthcare&amp;#39;s plan is the latest sign that the SPAC model is spreading to other industries, after Chemara Palmea Holdings Bhd said last month it plans Malaysia&amp;#39;s first plantation SPAC listing in a deal worth 650 million ringgit.&lt;br /&gt;&lt;br /&gt;The healthcare SPAC will use funds from the IPO to buy medical businesses, the sources said.&lt;br /&gt;&lt;br /&gt;&amp;quot;They are planning to file the IPO application next month,&amp;quot; one of the sources said, declining to be identified as the matter had not been officially announced.</description>

It imports and distributes brands likes BMW, Rolls-Royce, Ford, Land Rover and Porsche among others in the Asia-Pacific region. Apart from Malaysia, it also has operations in countries such as Australia, China, Hong Kong, Singapore and Thailand.&lt;br /&gt;&lt;br /&gt;&lt;b&gt;The planned IPO of Sime Darby Motors is slated for this year, one of the persons said.&lt;/b&gt; The request for proposals was sent on Thursday and bankers are required to submit their pitch by end of next week.</description>

            <description>&lt;b&gt;Boustead Plantations to issue 580m new shares under IPO &lt;/b&gt;&lt;br /&gt;&lt;br /&gt;Boustead Plantations Bhd plans to issue 580 million new shares to retail and institutional investors under its proposed listing on the Main Market of Bursa Malaysia.&lt;br /&gt;&lt;br /&gt;Boustead Holdings Bhd, which is listing the plantations unit, said on Monday that it would offer for sale up to 76 million existing Boustead Plantations shares.&lt;br /&gt;&lt;br /&gt;Upon listing, the enlarged and paid-up capital of Boustead Plantations would be 1.6 billion shares of 50 sen each with the inclusion of the 580 million new shares.&lt;br /&gt;&lt;br /&gt;The floatation exercise involves the retail offering of up to 492.429 million IPO shares.&lt;br /&gt;&lt;br /&gt;Of these IPO shares, it said 206.83 million issue shares would be reserved for applications by entitled shareholders of Boustead Holdings. We want to grow our business overseas by having a larger footprint, possibly in the Middle East and also in Southeast Asia,&amp;quot; he told Bernama in an interview at the company&amp;#39;s headquarters recently.&lt;br /&gt;Currently, the company has 32 vessels and operates in Qatar, Vietnam, Thailand and Malaysia.&lt;br /&gt;&lt;br /&gt;Jamal said the company also plans to increase human capital development through various in-house training modules. &lt;br /&gt;&lt;br /&gt;&amp;quot;Ninety per cent of our crew are Malaysians, and we want to develop them to be better professionals for the industry. &amp;quot;We are very big on training and human capital development. You can build a nice asset but if it is not maintained very well, in three years it will seem very old,&amp;quot; he said.&lt;br /&gt;&lt;br /&gt;On the progress of the IPO, he said the company is still in the midst of assessing which potential investment bank to submit its application to, as well as conducting book building and as the joint global coordinator.&lt;br /&gt;&lt;br /&gt;He said the selected bank will be announced by the end of this month and the company hopes to be listed on the Main Market of Bursa Malaysia by May or June next year.&lt;br /&gt;&lt;br /&gt;Asked on the strength of Icon Offshore moving forward, he said the company offers a younger fleet with newer technology, wide geographical reach, low cost structure and good track record of health and safety.&lt;br /&gt;&lt;br /&gt;He said the company&amp;#39;s average fleet age is about three to four years with experienced crews inherited from the merger of Tanjung Kapal Services Sdn Bhd and Omni Petro Maritime Sdn Bhd last year to form Icon Offshore today.&lt;br /&gt;&lt;br /&gt;On regional development, he said Icon Offshore is currently in talks with a party in Indonesia to establish a joint venture that will tender for jobs in the country, adding the negotiations are targeted to be concluded this year before the company submits its listing application to Bursa Malaysia.&lt;br /&gt;&lt;br /&gt;Ranked among the top three OSV companies in Malaysia with annual turnover of RM270mil, Icon Offshore employs almost 1,000 staff including 800 marine crew and 145 office staff in Kuala Lumpur, Labuan and Kemaman.</description>

            <description>&lt;b&gt;IPO Malaysia&amp;#39;s Seven Convenience plans &amp;#036;218 million IPO-draft prospectus&lt;/b&gt;&lt;br /&gt;&lt;br /&gt;Seven Convenience Bhd, a 7-Eleven convenience store chain operator in Malaysia, is offering up to 530.33 million shares in an initial pubic offering (IPO) that could be worth about 700 million ringgit (&amp;#036;218.82 million), a draft prospectus showed on Tuesday.&lt;br /&gt;&lt;br /&gt;The IPO is expected before the end of the year and will be used to fund the company&amp;#39;s expansion and refurbishment of its stores, information technology systems and for working capital, the prospectus showed.&lt;br /&gt;&lt;br /&gt;Controlled by Malaysian billionaire Vincent Tan, the company&amp;#39;s offer represents up to 43 percent of its enlarged paid-up capital, of which 490.78 million shares or 39.8 percent will be offered to institutional investors.&lt;br /&gt;&lt;br /&gt;The balance of 39.55 million shares or 3.2 percent will be allocated to retail investors. There is an over-allotment option of up to 74.03 million shares or 14 percent of the IPO shares offered, the prospectus showed.&lt;br /&gt;&lt;br /&gt;Seven Convenience, part of Berjaya Retail Bhd, is Malaysia&amp;#39;s largest convenience store chain with close to 1,500 outlets, according to its prospectus.&lt;br /&gt;&lt;br /&gt;The company recorded revenue of 1.58 billion ringgit and profit after tax of 40.5 million ringgit in 2012, representing a compound annual growth rate of 9.7 percent in revenue and 22.4 percent in profit from 2010 before its parent company Berjaya Retail was delisted.</description>

The board of directors comprise of four members so far, two which are well known Malaysian corporates - Asgari Mohd Fuad Stephens of Mudajaya Group Bhd fame, and Tan Sri Syed Anwar Jamalullail, who is presently chairman of Cahya Mata Sarawak Bhd.&lt;br /&gt;&lt;br /&gt;The other directors are exploration and production experts Basil Law from Shell Sabah and Sarawak, and Dr Peter Wentworth from the BP Group of companies. Both have many years of experience in the oil and gas industry.&lt;br /&gt;&lt;br /&gt;RHB Investment Bank Bhd is the investment bank which will be making the submissions to the Securities Commission next month.&lt;br /&gt;&lt;br /&gt;Pareto Securities Pte Ltd, a Nordic energy focused investment bank, and RHB are the joint bookrunners for this SPAC listing. The marketing for its initial investors have now begun, say sources.&lt;br /&gt;&lt;br /&gt;Pareto is in charge of the overseas portion while RHB will be handling the Malaysian portion. &lt;br /&gt;&lt;br /&gt;The source adds that there was also an advisory panel board, which consisted of big names from the international oil and gas arena. This panel would advise Matrix when it reached the point of making its qualified acquisition.&lt;br /&gt;&lt;br /&gt;The panel members include Ian Lundin, who is chairman of Lundin Petroleum and Keith Hill who is president and CEO of Africa Oil Crop. The other member is Harry Doust.&lt;br /&gt;&lt;br /&gt;Lundin Petroleum has exploration and production assets mainly in Norway and South East Asia. It also has assets in France, Netherlands and Russia.</description>

            <description>PHARMACEUTICAL company Royce Pharma Bhd aims to raise as much as RM30 million from its planned listing on Bursa Malaysia&amp;#39;s ACE Market next year.&lt;br /&gt;&lt;br /&gt;Executive deputy president Datuk Chandrasekar Suppiah said the company will use the money raised from the initial public offering (IPO) for research and development to expand its product line and presence in Asia.&lt;br /&gt;&lt;br /&gt;He said Royce is expanding its portfolio to include injectables, infusions, slow release drugs and creams, long-term therapy medications, and additional health and dietary supplements.&lt;br /&gt;&lt;br /&gt;&amp;quot;As we want to deliver new products faster to the market, there may be a need to engage in foreign joint-venture partnerships either via knowledge transfer, or acquisitions,&amp;quot; he said in an interview here yesterday.&lt;br /&gt;&lt;br /&gt;Royce, formerly Asia Pharmaceuticals Sdn Bhd, manufactures generic pharmaceutical products at its factory in Nilai, Negri Sembilan.&lt;br /&gt;&lt;br /&gt;The company, headed by Zainal Ariff Mahmood, was set up some 30 years ago. It was taken over by its current management in 2004.&lt;br /&gt;&lt;br /&gt;Royce has over 90 products in its portfolio, majority of which are sold locally and the rest in Myanmar, Cambodia and Vietnam via agents.&lt;br /&gt;&lt;br /&gt;It is venturing into Thailand, Indonesia and the Philippines to diversify its income stream, said Chandrasekar.&lt;br /&gt;&lt;br /&gt;M&amp;amp;A Securities is advising the company on the IPO exercice. The draft prospectus will be finalised within the next two months.&lt;br /&gt;&lt;br /&gt;Chandrasekar said consultants have been appointed to help with the IPO and due diligence is ongoing.&lt;br /&gt;&lt;br /&gt;&amp;quot;We hope to list by the first quarter of next year. We will list on the ACE Market first before moving to the Main Market.&amp;quot;&lt;br /&gt;&lt;br /&gt;Chandrasekar said Royce is also seeking growth in the local pharmaceutical industry, where it intends to supply its products to the private sector.&lt;br /&gt;&lt;br /&gt;&amp;quot;The industry here is very stable, growing five to seven per cent per year. The price of the institutional offer will be determined by a book-building exercise.&lt;br /&gt;&lt;br /&gt;Meanwhile, 194.58 million IPO shares will be made available for retail investors at a yet-to-be-determined price, representing 9% of the enlarged issued and paid-up share capital of UMW-OG.&lt;br /&gt;&lt;br /&gt;UMW-OG is involved in the upstream sector of the O&amp;amp;G industry, providing offshore drilling and oilfield services, including engineering and maintenance services.&lt;br /&gt;&lt;br /&gt;Prior to listing, the company will undertake an internal reorganisation exercise involving the transfer of the offshore drilling business and certain companies in the oilfield services division under UMW and its subsidiaries to UMW-OG.&lt;br /&gt;&lt;br /&gt;The latter entered into sale and purchase agreements on May 14, 2013 in relation to the internal reorganisation.             <description>Bamboo flooring manufacturer Kanger International Bhd is set to be the 10th China-based company to be listed on Bursa Malaysia.&lt;br /&gt;&lt;br /&gt;The company will be issuing 80 million new shares in its initial public offering (IPO), representing 18.6% of the company&amp;#39;s enlarged issued and paid-up share capital.&lt;br /&gt;&lt;br /&gt;The IPO entails 22 million new shares for the public, and 58 million new shares to be allocated to selected investors via a private placement.&lt;br /&gt;&lt;br /&gt;The company specialises in the manufacturing and trading of bamboo flooring and related products for the residential and commercial markets under its brands Kanger and KAR Masterpiece, as well as acting as an original equipment manufacturer at the request of customers.&lt;br /&gt;&lt;br /&gt;Financially, the company has been on a growth trajectory over the past three years, with its financial year ended Dec 31, 2012 (FY12) seeing it recording a net profit of RM6.36mil on a revenue of RM38.5mil, compared to a net profit of RM3.07mil on a revenue of RM23.41mil in FY11. In FY10, meanwhile, the company posted a net profit of RM969,000 on a revenue of RM14.83mil.&lt;br /&gt;&lt;br /&gt;Kanger intends to use 34.09% of its IPO proceeds as working capital, 22.73% as research and development expenditure and 11.36% as capital expenditure, with the rest - 31.82% - being utilised immediately upon listing for listing expenses.&lt;br /&gt;&lt;br /&gt;Its chairman is Datuk Paduka Sharipah Hishmah Sayed Hassan, a member of the Perlis royalty, who runs several businesses, including the La Cucur food outlet.
