Advise needed on old rig

Hi guys,

Current rig:

Intel E4600 Core 2 Duo
Gigabyte P31-DS3L Motherboard
3 GB Corsair ram (running 32 bit Windows 7 so have to run at 3GB)
Gefore 210 DDR3 1GB GPU
320 GB HDD
420w/500w PSU (forgotten)

Initially my rig was running on Leadtek 8500GT 512GB GPU but had reached its lifetime and had to replace with something else which is cheap hence the Geforce 210.

But I found that my rig becomes slower when loading apps and get lags when playing games (eg. Dota2)

I am thinking to upgrade my mobo to G41 series which can runs DDR3 rams at 8GB. Would it be a decent upgrade or get better CPU?
