Someone to JV in my Sdn Bhd to buy/sell property

Need advice.

I've set up a sdn bhd for buy/sell property purpose.
Without experience, I set up without engaging anyone JV with me and I'm the single director.
** company set-up 1 year, dormant state, no transaction yet.

Someone like-minded who shows his interest to JV with me to work out together.
But I do not know how does it works, since I'm not from business background.
I have doubts on the legal procedures particularly as below:

1. Should it be 50:50 or 51:49 shares ratio? Which should be more appropriate?
2. The company set-up cost and any other related costs which I spent earlier, can it be equally shared/ claimed from the partner?
3. Should we inject in capital equally or rely on Q1 (shares ratio)?
3. Is the decision maker rely on Q1 (shares ratio) too?
4. What if having dispute in between?
5. What if either party decides to withdraw/ exit in halfway?

Any other elements that I may need to take note or consider deeply? If yes kindly enlighten me.

Really need this advice as I'm totally clueless.

Will you back to work with your ex-company?

Scenario as below:

Ex-company: 8 yrs working experience (1st job since graduated, resigned as AM)
Current company: 1 yr ++ (totally different field from ex-company, as M)

Word from ex-boss during the resignation time:
-- Anytime when you feel to come back just let him know, and things can be arranged.
-- But remuneration package may not be adjusted based on your new company's, but based on time you left.

One day out of sudden, the ex-boss text-ed and called up:
-- There is one headcount vacant, which supposed to be expat specialist, but due to covid situation and some other reasons, the plan may altered.
-- But he is smart, throw me word that now covid situation, he may easily get ppl once the recruitment publish out. Create a sense of urgency for me to make quick decision.

My thought:
-- I'm on 7:3 on accept:reject due to I'm not enjoying current job.
-- They may not want to waste time to train new ppl, and are not guarantee to get a suitable guy for the position.
-- Back to work with ex-company means I may need to accept drops of salary/ position.

Questions:
-- Do I have bargain power at this point of time?
-- If I were to respond too fast, will it show that I need the job more than they need me, and lost the bargain power?
-- What do you think and any advice?

Offering of ride-sharing Melaka-Selangor/KL

Hi guys,

I have started my work in melaka recently.
My hometown is in Klang, therefore I'll back Klang about biweekly.

Knowing that driving alone for long distance can be boring at some times, especially when nobody talking to you and you might easily fall asleep while driving, dangerous.

I'm looking for selangor/KL ppl, probably MMU or UTEM students? Or anybody who would like to back home same way with me?

I'm driving btw, can offer for ride sharing if you want.

Will you backpack to Klang? Homestay in Klang

I am wondering whether Klang is suitable for homestay business.
It is not a tourist hotspot like melaka or penang.
Any backpacker or traveller will pay a visit to Klang and opt for homestay here? Will it become a potential blue ocean?

What's the concern of taking over a F&B business

I do not have business background.
But with recent opportunity, I plan to take over a F&B business.
I need some advice on how to judge the business is good, and whether worth to take over.
Owner would like to sell the business with about 280k.
It's a huge capital for me, is there any sme loan suitable for me to apply?

How to claim back booking fees?

Hi,

Can we claim back our booking fees if we finally cancel to purchase the unit?
Me and my brother had place a booking fees of RM1000 respectively to different project.

For myself, one bank approved loan, but after some consideration, i decided to cancel the booking.
I asked back to the agent, and she told me as long as there is ONE bank approved, i cannot get back my booking fees.

For my brother's case, he got no bank approve, finally give up.
He could not get back his booking fees as well.

To my understanding, as long as the developer has not obtain ADPL, they cannot collect any money from buyer.
These two developers have not obtain it at the time we place booking.

I have tried mail to developer asking a claim back, but it was like stone into the sea, no reply.
My question is:

1. Can we claim back our booking fees?
2. What other ways can we do?
3. If write letter to developer, any sample to refer? i'm not sure the proper way.

How to convert to PDF

Hi all, I would like to seek help for the above matter.

This is the problem in my office PC.
Whenever i convert my power point to PDF, the created PDF must have a small image at the top left --> "Your complimentary use period has ended. Thank you for using PDF Complete. Click Here to upgrade to Unlimited Pages and Expanded Features." (Sample in attachment)

However, i couldn't upgrade due to my PC does not have internet access. And it might need payment for upgrade.

I have tried go to Print, then select printer name to "PDF" and save as PDF.
However, the PDF created has the same image at the top left also.

Is there any way to convert my power point to PDF without upgrade the PDF?
I guessed my company does not provide license of using PDF.
So we need to seek illegal way to use it.

Process Engineer vs R&D Engineer

In my situation as mentioned, i've been offered for the two positions in two different Japanese company.

I'm currently undergoing my 6 months intern in company A, which will be ended on 17th June. Had already gone through the interview for the position of process engineer in this company.

On the other hand, i went another interview at company B, thinking to get some interview experience ONLY. Who knows i'm selected for the position of R&D engineer there.

OK, below i explain briefly for two positions:

Company A: Process engineer - semiconductor field, which process engineer will only focus on one process only. Reduce the product defects, do improvement plan, come out some standard operation procedure for operators, etc. Life is always go in process see what happening in process and stay in office for probably some paper works.

Company B: R&D engineer - electrical product, offered under fan department. Guess it needs someone who can do well in 3D software like Solidworks. Because during interview, interviewers stressed on this. I answered yea, no problem, during university time we have lots of project using Solidworks. Given alot of examples to convince them. But in fact, i'm not expert pun. LOL

*Company A is 5 mins away from home.
*Company B is 40mins away from home.

Any comments on which to choose?

any recommend..?! i dun like windows media player anymore coz it used to not responding quite often..
am looking for the alternative song player which has lyrics together when playing the song..
