            <title>Seeking opinions on company share acquisition</title>

            <description>Hi everyone,&lt;br /&gt;&lt;br /&gt;I&amp;#39;m just in my 20s so would like to get the opinions of other more experienced people in this group. To give a bit of a background, my friend and I started home-brewing a Sarawakian alcoholic beverage beginning of last year and ended our partnership when his mum&amp;#39;s current boyfriend poached him to start a Sdn. Bhd. brewing the same beverage, but did not include me. The guy is a master brewer with many years of expertise in the industry, even running his own alcohol consultancy and has his craft beers in supermarkets all over SEA.&lt;br /&gt;&lt;br /&gt;They just recently came to me with an offer to acquire shares from the master brewer at RM50k for 10% of the company as I was the co-founder of the brand. The current shares are split 80% master brewer and 20% my friend. 10% of the master brewers shares will be transferred to me and another 10% has been offered at RM100k and accepted by another lady who runs her own marketing agency and has deep connections in the tourism industry.&lt;br /&gt;&lt;br /&gt;I have gotten advice from an accountant and various lawyer, and will summarize the pros and cons of the company.&lt;br /&gt;&lt;br /&gt;Pros:&lt;br /&gt;&lt;br /&gt;1) Huge upside potential as from my knowledge they are the ONLY company commercializing the alcoholic beverage in Malaysia&lt;br /&gt;&lt;br /&gt;2) The master brewer has deep expertise in the alcohol industry, hence is able to guide the vision of the company&lt;br /&gt;&lt;br /&gt;3) Beverage is already in a few well-known restaurants and bistro chains around Sarawak and KL, fully legal with tax seal and everything&lt;br /&gt;&lt;br /&gt;4) High barrier of entry as manufacturing license is impossible to obtain and strong connections required to commission licensed factory to produce own alcoholic beverage&lt;br /&gt;&lt;br /&gt;Cons:&lt;br /&gt;&lt;br /&gt;1) Incorporated only 6 months ago, hence no audited financial statements&lt;br /&gt;&lt;br /&gt;2) High valuation by the current Directors at around RM1mil based on future projections/ potential even though it is somewhat a bare company&lt;br /&gt;&lt;br /&gt;3) Paid up capital of only RM10k and additional buy-in from other lady of RM100k leaves the company with small capital to work with. Additional funds required if company making losses or needs more funds will require me to pump in more money, else dilution will be at my cost&lt;br /&gt;&lt;br /&gt;4) No manufacturing license, production is commissioned to a licensed factory, essentially making somewhat a &amp;#39;distributor&amp;#39; only, they have also recently just stopped production at their previous factory and currently doing a test batch at potential factory&lt;br /&gt;&lt;br /&gt;5) In the process of applying for a wholesale license, currently piggybacking on another company&amp;#39;s license&lt;br /&gt;&lt;br /&gt;6) Master brewer has majority power at 60% share after final dilution, would need to have a lot of faith in his management of the company, also to add I don&amp;#39;t doubt his capabilities but trust is earned and I don&amp;#39;t know him and the other lady all that well&lt;br /&gt;&lt;br /&gt;7) Might be made a working Director, but it&amp;#39;s up to BOD, if I&amp;#39;m just a mere shareholder then likely not to get any dividends within first few years as profits will be reinvested to grow the company&lt;br /&gt;&lt;br /&gt;8) Might be hard to exit compared to a listed company where I can sell the shares on the market&lt;br /&gt;&lt;br /&gt;9) Getting to the emotional aspects of things - they did not include me in the beginning of setting up the company even though I was a cofounder and now seeking to get me to join their startup at RM50k, SSM records show that their total paid up capital is only RM10k&lt;br /&gt;&lt;br /&gt;To note, the RM50k has not been negotiated yet and is not life changing money to me. I&amp;#39;ve been thinking about this deal for quite awhile now and am due to confirm by this week, as of now I&amp;#39;m skewed more towards not taking on the offer.&lt;br /&gt;&lt;br /&gt;What would you guys do in my situation?             <title>McIntosh Setup Advice</title>

            <description>Hi guys, &lt;br /&gt;&lt;br /&gt;Just purchased rear KYB Excel G absorbers for my year 2013 Myvi Lagi Best from Shopee seller Onestop1605 at RM136.30 after discount. &lt;br /&gt;&lt;br /&gt;Reason I&amp;#39;m asking is because the absorber image on packaging is differently aligned from what I see on KYB&amp;#39;s official Shopee store/ website. I believe the noise is due to the increased metallic properties of the Trestor brake pads? so ceramic brake pads should have minimal noise. Correct me if I&amp;#39;m wrong.&lt;br /&gt;&lt;br /&gt;Budget is around RM120.             <title>Buyer not willing to pay RPGT from the higher loan</title>

            <description>Hi everyone,&lt;br /&gt;&lt;br /&gt;I have an old property that I really want to sell off and have found a buyer. The property was recently transferred to my name so 30% RPGT applies.&lt;br /&gt;&lt;br /&gt;The buyer however, applied for a loan higher than the amount that I transferred the property for without telling me beforehand. I&amp;#39;m even selling the place to him much lower than the SPA amount.&lt;br /&gt;&lt;br /&gt;The thing is, buyer is now unwilling to pay the RPGT even though he is the only one who benefits from it. So essentially I&amp;#39;m paying the price for him doing me wrong.&lt;br /&gt;&lt;br /&gt;What should I do in this case? I really want to get rid of that property from my portfolio and wouldn&amp;#39;t want the buyer to change his mind about the purchase.             <title>Is rental booking fee refundable?</title>

            <description>Hi everyone, &lt;br /&gt;&lt;br /&gt;I secured a place last Sunday and put in a booking fee worth one months rental ~RM1.5k.&lt;br /&gt;&lt;br /&gt;The clause in the contract states &amp;#39;In the event that the tenant does not exercise their right to rent the above-mentioned property within the specified option period by signing the Tenancy Agreement, the landlord shall forfeit the rental amount of RM 1450. This means that the landlord will not be entitled to receive the rental payment of RM 1450 if the tenant does not proceed with renting the property during the option period.&amp;#39;&lt;br /&gt;&lt;br /&gt;Unfortunately did not do enough new diligence and just realized today that it might not be safe to walk alone in the dark back home from the train station as I&amp;#39;m a girl. The route is also quite dodgy. &lt;br /&gt;&lt;br /&gt;I have since found a place right next to my office that is more suitable and would like to rent here instead. &lt;br /&gt;&lt;br /&gt;Is the booking fee I placed refundable? or can the landlord and real estate agent forfeit it for wasting their time and refusing potential tenants? &lt;br /&gt;&lt;br /&gt;If it&amp;#39;s not refundable, is there any way around this? &lt;br /&gt;&lt;br /&gt;Thanks.</description>

            <title>Fennel to public transport stations walkability</title>

            <description>Hi guys, &lt;br /&gt;&lt;br /&gt;I&amp;#39;m currently not in KL but am moving here for work end of this week. &lt;br /&gt;&lt;br /&gt;I&amp;#39;ve paid booking fee to secure rental for Fennel apartments on Sentul but completely forgot about doing my due diligence on the walkability from the apartment to KTM/ LRT and MRT stations. &lt;br /&gt;&lt;br /&gt;Anyone familiar with this part of Sentul and can share your experience? &lt;br /&gt;&lt;br /&gt;From Google Maps it shows walking from the apartment to these stations is about 8mins only but from satellite view looks like some paths are blocked. &lt;br /&gt;&lt;br /&gt;Will the walk be okay? Are the roads safe and clean? &lt;br /&gt;&lt;br /&gt;Thanks.</description>

            <title>Car phone holder recommendations</title>

            <description>Hi guys,&lt;br /&gt;&lt;br /&gt;I have been using Belkin&amp;#39;s universal car mount for over 7 years now but it broke today. Would love to re-purchase this holder again but it is hard to come by.&lt;br /&gt;&lt;br /&gt;Went to eg.
